Definitions

T&Cs : General terms and conditions for the use of the Express-Online platform
Transporter company profile : The transporter’s company profile refers to the basic information of the member transporter, including at least the name, SIREN, and contact number of the transporter, as well as the list of registration documents uploaded during their registration or updated thereafter.
Freight Forwarder company profile : The freight forwarder’s company profile refers to the basic information of the member freight forwarder, including at least the name, SIREN, and contact number of the freight forwarder, as well as the registration documents they have provided during registration or updated thereafter.
“Express-Online” service : The service of Perceval-Express responsible for the processing, verification, and validation of transporters’ and freight forwarders’ registrations to the “Express-Online” platform, as well as the monitoring and support of Express-Online members.
“Express-Online” platform : The “Express-Online” platform refers to the following elements:

The public-facing website “Express-Online”
The website for registered express transporters (members)
The website for registered express freight forwarders (members)
The mobile app accessible to registered express transporters and their drivers
The back-end website used for managing registered users

Subscriber : A physical or legal person who has submitted a registration request to the Express-Online platform.
Member Transporter : A physical or legal person whose registration request to the “Express-Online” platform has been accepted by the “Express-Online” service.
Member Freight Forwarder : A physical or legal person whose registration request to the “Express-Online” platform has been accepted by the “Express-Online” service under a partnership protocol signed by both parties.
Registration request : A registration request refers to the request submitted by an express transporter or express freight forwarder to register on the “Express-Online” platform via the public website or any other registration medium.
Partnership protocol : The contract granting access to the “Express-Online” platform between the “express freight forwarders” subscribers and the “Express-Online” service.
Recommended rates : The rates recommended by the “Express-Online” platform to facilitate vehicle reloading under satisfactory financial conditions for express transporters.
LUV : Light Utility Vehicles.

Article 1 – Presentation

The “Express-Online” direct connection service is developed and implemented by the company Perceval-Express, specializing in urgent and customized transport, aimed at facilitating the reloading of express vehicles in Europe, particularly light utility vehicles (LUV).

Perceval-Express, within the scope of its direct connection service between freight forwarders and transporters, does not intervene in the formation or execution of transport or transport commission contracts arising from the connection, and its responsibility cannot be held in any way in this regard.

Article 2 – Purpose

The purpose of the “Express-Online” service is to facilitate the loading and reloading of express vehicles in Europe. It is aimed at national and European transport operators, particularly express transporters and road freight forwarders. Rates are free between express freight forwarders and express transporters within a 20% margin of the recommended rates for urgent transport by dedicated vehicle. This restriction is intended to ensure that the use of the “Express-Online” platform remains in line with its purpose.

Article 3 – Conditions of access to the “Express-Online” service for carriers

Access to the “Express-Online” service for transporters is through an online pre-registration process, accompanied by the submission of the necessary supporting documents. These documents are directly uploaded during registration.

The final registration of express transporters is validated by the “Express-Online” service within 7 days of the registration request, provided that it has been fully completed and the required registration documents have been uploaded.

The “express transporter” access to the “Express-Online” service is concluded for an indefinite period and takes effect from the date of registration validation.
Any “express transporter” subscriber whose application for membership to the “Express-Online” service has been accepted will receive a confirmation of their registration by e-mail. They can then proceed to download the “Express-Online” mobile application under the conditions specified on the “My Mobile App” page of their “transporter” space.

The drivers registered by the express transporter as part of their registration process can also download the “Express-Online” mobile application under the same conditions. The download of the “Express-Online” mobile application is free and available to registered transporters.

Any “express transporter” subscriber regularly registered to the “Express-Online” service will be referred to as a “member” for the purposes of these terms.

Article 4 – Conditions of access to the “Express-Online” service for freight forwarders

Access to the “Express-Online” service for freight forwarders is through an online pre-registration process, accompanied by the submission of necessary supporting documents, followed by the signing of a partnership protocol.

The registration of express freight forwarders is validated by the “Express-Online” service within 14 days of the signing of the partnership protocol between the express freight forwarder and the “Express-Online” service.

The “express freight forwarder” access to the “Express-Online” service is concluded for a fixed term and takes effect from the date of validation of the partnership protocol between Perceval-Express and the express freight forwarder.

Any “express freight forwarder” subscriber regularly registered to the “Express-Online” service will be referred to as a “member” for the purposes of these terms.

Article 5 – Service usage cost

The use of the Express-Online connection service is free for transporters and subject to a fee for freight forwarders when a connection is made. The fee amount is calculated based on the potential value provided by the connection.

Article 6 – Conditions of access to business profiles

The Express-Online system identifies matches between vehicle searches and completed routes, then offers the relevant freight forwarders a list of vehicles whose position and route best match their search.

Each “express freight forwarder” member has direct access to the list of documents provided during their registration by their co-contractor through their profile page.
Connections between “express freight forwarders” and “express transporters” are made based on searches conducted on the Express-Online platform.

The transporter’s company profile includes at least the name, SIREN, and contact number of the transporter, as well as the documents they uploaded during registration or updated later.

Express transporters who receive a contact request from an express freight forwarder also gain access to the company profile of the relevant freight forwarders, which includes at least the name, SIREN, and contact number of the freight forwarder, as well as the documents they uploaded during registration or updated later.

Each member is fully responsible for the use of their password, which is personal and confidential. In case of loss or theft, they can immediately obtain a new personal and confidential password by clicking “Forgot Password” in their login space.

Basic partnership protocol
Express charterers who are “members” pay Perceval-Express a “connection” commission, which is only due once they have successfully contracted with the carrier offered to them. The amount of this commission depends on the savings achieved on the urgent transport service entrusted.

“Major account” partnership protocol
A “major account” partnership protocol may be established between Perceval-Express and national or European key charterers when the terms of the basic partnership protocol are insufficiently suited to the needs of either party. This major account protocol is customized for the relevant major account operators.

Article 7 – Conditions of use of the Express-Online.com platform by members

Members agree to use the www.express-online.com website in accordance with its purpose and shall not register any vehicle under their account that they neither own nor manage. In particular, this applies to vehicles owned or used by companies other than their own, or by other sites not covered by their registration. Members agree to inform the Express-Online service of any changes in contact details or legal status occurring during the contract term.

Failure to comply with these commitments may result in immediate termination of membership, in accordance with Article 14 of this agreement, without prejudice to any possible claims for damages.

Article 8 – Information acknowledgment by freight forwarders

The information provided in the express carriers’ “company profiles” allows each charterer member to review the basic characteristics of the carriers they may engage with, including professional documents submitted during registration. These profiles include at minimum the name, SIREN number, and phone contact of the carrier, along with details of registration documents uploaded at sign-up or updated thereafter.

Each charterer member is solely responsible for any additional checks they deem necessary to verify the quality or capacity of their contracting partner and agrees to the Express-Online data protection policy. Such checks can be especially important for transporting high-value goods or missions involving significant stakes.

Article 9 – Information acknowledgment by carriers

The information provided in the express charterers’ company profiles allows each carrier member to review the basic characteristics of the charterers they may work with, including professional documents submitted during registration. These profiles include at minimum the name, SIREN number, and phone contact of the charterer, along with details of registration documents uploaded at sign-up or updated thereafter.

Each carrier member is solely responsible for any additional checks they deem necessary to verify the quality or capacity of their contracting partner and agrees to the Express-Online data protection policy. Such checks can be especially important for transporting high-value goods or missions involving significant stakes.

Article 10 – Information tracking

Carrier members must make every effort to remain reachable by their client during a mission and to inform the client promptly in case of a delay exceeding 15 minutes from the agreed schedule.

Charterer members must make every effort to remain reachable by their carrier counterpart during a mission and to inform them promptly of any unforeseen changes or mission modifications.

Repeated failure to meet these obligations may lead to suspension or termination of membership on the Express-Online platform as stated in Article 15.

Article 11 – Service accessibility

Access to the direct connection service Express-Online is available 24/7, except during file maintenance periods or service interruptions due to third-party actions or force majeure. Perceval-Express is not liable for temporary service interruptions caused by failures in services from EDF, server centers, or telecommunications providers.

Article 12 – Software and data protection

The member acknowledges that transmission of confidential information, access codes, and passwords over the Internet is done at their own risk. They are solely responsible for the use of any data they access, query, or transfer via the Internet and understand that such data may be regulated or protected by intellectual property rights. It is their responsibility to take appropriate measures to protect their own data and software from contamination by potential Internet-borne viruses.

Article 13 – Disclaimers and limitations of liability

Perceval-Express, not having control over clients’ hardware or software environments, disclaims any liability for compatibility, reliability, or operation issues related to third-party software.

Perceval-Express commits to applying its expertise and that of its IT service providers to ensure the technical operation of its Express-Online direct connection service, within its best-efforts obligation.

Members remain solely responsible for how they use the Express-Online service and for the direct or indirect consequences of contracts made with third parties. They are also responsible for any damages caused to Perceval-Express due to illegal use of the website or any of its components.

Except as expressly stated in the contract, Perceval-Express makes no express or implied warranties regarding the Express-Online service or any information users may obtain through it.

Perceval-Express acts as an intermediary between express carriers and charterers and is in no way responsible for the execution of contracts it has facilitated.
Should Perceval-Express be held liable, such liability shall be limited to the total amount paid by the user to Perceval-Express within the 12 months preceding the damaging event.

Article 14 – Intellectual and commercial property of data

The ownership and all rights related to the service belong exclusively to Perceval-Express. Members agree to use the Express-Online direct connection service solely for their own internal needs and not to exploit it for any other commercial or non-commercial purpose, directly or indirectly.

Article 15 – Suspension – termination of membership

Termination by the member: Members may terminate their membership at any time by sending a registered letter with acknowledgment of receipt. The termination becomes effective at the earliest on the receipt date of the letter, and at the latest within 7 days of its receipt.

Termination by the company: Perceval-Express may suspend or terminate any carrier or charterer subscription for just cause. The following, among others, are considered just causes:
Serious and/or repeated breach of any accepted clause.
Fraudulent or improper use of the system contrary to the intended purpose of the direct connection service.
Repeated and justified complaints against the member.
False declarations by the member.

In all such cases, Perceval-Express reserves the right to take any necessary measures, including immediate suspension or termination of membership, without prejudice to any claims for damages.

Any amount paid by a charterer member for connections made remains the property of Perceval-Express if the contract is terminated by the member.

Any amount paid by a charterer member for connections made remains the property of Perceval-Express in the event of termination or suspension of the contract initiated by Perceval-Express.

Article 16 – Right of access and right to object to the digital file

Client information is shared in compliance with the obligations and rights under Law No. 78-17 of January 6, 1978, as amended by Law No. 2004-801 of April 6, 2004 (OJ of August 7, 2004), and its implementing decrees.
